Organization, Management and Control Model pursuant to Legislative Decree 231/2001
The Organization, Management and Control Model pursuant to Legislative Decree 231/2001 is a structured set of principles, rules, procedures, and tools adopted by companies to prevent the commission of crimes in the course of their activities and to ensure proper, transparent, and legally compliant management.
Legislative Decree 231/2001 introduced into the Italian legal system the administrative liability of entities for certain crimes committed, in their interest or advantage, by senior management or by persons subject to their direction or supervision. The adoption of an effective 231 Model enables the company to identify risk areas, regulate sensitive processes, define roles and responsibilities, and promote a corporate culture based on ethics, legality, and prevention.
A central element of the Model is the Code of Ethics, which defines the values, behavioral principles, and rules of conduct that directors, employees, collaborators, and partners must comply with in the performance of business activities.
To oversee the functioning and compliance of the Model, an Supervisory Body (Organismo di Vigilanza – OdV) is established, endowed with autonomous powers of initiative and control. It is responsible for monitoring the effective implementation of the Model, assessing its adequacy, and proposing updates in response to regulatory and organizational developments.
In this context, Mectrans has initiated the process of aligning with the Organization, Management and Control Model provided for by Legislative Decree 231/2001, with the aim of strengthening its governance, transparency, and corporate accountability systems.
The Model is currently under definition and implementation and forms part of a broader process of structuring internal control systems, aimed at preventing risks and promoting a corporate culture based on proper conduct and regulatory compliance.
